Puffify Merchant Terms of Service

These Merchant Terms of Service (“Terms”) govern access to and use of Puffify’s websites, software, merchant dashboard, storefronts, product catalog, marketplace, ordering functionality, product discovery services, and related merchant services (collectively, the “Services”).
By applying for, creating, accessing, or using a Puffify merchant account, you acknowledge that you have read, understood, and agree to these Terms, the Puffify Privacy Policy, Marketplace Rules, Age-Restricted Product Policy, and any additional policies or terms applicable to specific Services.
If you create or use a Puffify account on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
As used in these Terms, “Puffify,” “we,” “us,” and “our” mean Puffify and its applicable owners, operators, affiliates, and service providers. “Merchant,” “you,” and “your” mean the business or entity applying for or using the Services.
1. Puffify Services
Puffify provides technology designed to connect consumers with participating merchants and help consumers discover products, stores, brands, and related information.
Depending on availability and eligibility, the Services may include:
- Merchant storefronts and business profiles
- Product and inventory listings
- Store and product discovery
- Location-based search
- Puffify’s centralized product catalog
- Merchant account and dashboard functionality
- Product catalog matching and organization
- Ordering and transaction-facilitation functionality
- Age-verification functionality
- Marketing and promotional tools
- Analytics and business information
- Other features made available by Puffify
Not every feature is necessarily available to every Merchant, product, customer, or jurisdiction.
Puffify may add, remove, modify, restrict, suspend, or discontinue features or Services at any time.
2. Marketplace Relationship
Participating Merchants are independent retail businesses.
Except where Puffify expressly states otherwise, products displayed or offered through a Merchant storefront are offered by the applicable Merchant.
The Merchant is responsible for its inventory, business operations, licenses, products, product availability, product accuracy, fulfillment obligations, and compliance with laws applicable to the Merchant and its products.
Puffify provides technology and marketplace services that facilitate discovery of and, where enabled, transactions involving participating Merchants.
Nothing in these Terms creates an employment, partnership, franchise, fiduciary, joint venture, or similar relationship between Puffify and a Merchant.
A Merchant has no authority to bind Puffify or make representations on Puffify’s behalf.
3. Merchant Eligibility and Authority
To establish a Merchant Account, you must operate or represent a legitimate business eligible to participate on Puffify.
You represent and warrant that:
- You have legal authority to enter into these Terms.
- If acting for a business, you have authority to bind that business.
- Information provided to Puffify is truthful, accurate, current, and complete.
- Your business is legally authorized to operate in each jurisdiction in which it operates.
- You will maintain all licenses, permits, registrations, and authorizations required for your business and products.
- You will comply with applicable federal, state, and local laws and regulations.
- You are legally permitted to offer the products you make available through Puffify.
Puffify may approve or reject a Merchant Account application in its discretion, subject to applicable law.
Application fee and refunds
The Puffify merchant onboarding fee is a one-time charge of $297. There is no monthly platform fee for this offer.
The fee covers store setup from submitted business information, access to Product AI catalog matching after approval, and preparation of the merchant’s draft Puffify storefront.
If Puffify rejects the application, the $297 fee will be refunded. Otherwise, the fee becomes non-refundable once Puffify begins setup work, except where applicable law requires otherwise.
Flexible payment options may be available through Klarna at checkout. Eligibility and terms are determined by Klarna.
4. Merchant Verification
Puffify may request information or documentation to establish or verify:
- Identity
- Authority to represent a business
- Business ownership
- Business location
- Business registration
- Retail licensing
- Tobacco or nicotine licensing
- Regulatory registrations
- Merchant Account ownership
- Other information reasonably related to eligibility, compliance, security, or platform integrity
Requested documentation may include government-issued identification, business licenses, tobacco licenses, entity documentation, tax or business identifiers, or similar records.
You agree to provide accurate, authentic, current documentation when requested.
Puffify may reject, restrict, suspend, or terminate an account if requested information is not provided or cannot reasonably be verified.
5. Account Security and Responsibility
You are responsible for maintaining the confidentiality and security of your Merchant Account credentials.
You are responsible for activity conducted through your Merchant Account and by persons whom you authorize to access it.
You agree to promptly notify Puffify if you become aware of unauthorized account access, compromised credentials, or another security incident.
Puffify may temporarily restrict access when reasonably necessary to protect Puffify, a Merchant, users, or third parties.
6. Account Ownership
The person establishing a Merchant Account represents that they are authorized to do so on behalf of the applicable business.
If a dispute arises concerning control or ownership of an account, Puffify may request documentation and determine which person or entity should control the account.
Puffify may temporarily restrict access while an ownership dispute is resolved.
7. Merchant Responsibilities
Merchants are responsible for their businesses, inventory, and products.
You are responsible for ensuring that information associated with your store is accurate, including, where applicable:
- Business name
- Address
- Telephone number
- Business hours
- Product availability
- Product pricing
- Product variations
- Brand and manufacturer
- Product strength or concentration
- Product characteristics
- Licensing information
- Other legally required product information
You must promptly correct information you know to be materially inaccurate.
8. Puffify Product Catalog
Puffify may maintain a centralized catalog containing information regarding products, brands, categories, manufacturers, images, descriptions, UPCs, nicotine strengths, sizes, flavors, regulatory information, and other product characteristics.
Catalog information may originate from:
- Merchants
- Manufacturers
- Distributors
- Publicly available information
- Government databases
- Third-party data providers
- Puffify research and catalog-management activities
Puffify may create, standardize, organize, supplement, categorize, modify, merge, separate, correct, or remove catalog records.
Merchants may associate inventory with products contained in the Puffify catalog.
The Merchant remains responsible for ensuring that the actual product it offers corresponds to the applicable listing and for determining whether the Merchant may lawfully offer that product.
Catalog Inclusion Is Not Regulatory Approval
INCLUSION OF A PRODUCT IN THE PUFFIFY CATALOG IS FOR IDENTIFICATION, ORGANIZATION, DISCOVERY, AND PLATFORM-OPERATION PURPOSES ONLY.
INCLUSION DOES NOT INDICATE THAT PUFFIFY HAS DETERMINED THAT THE PRODUCT IS FDA-AUTHORIZED, LEGALLY MARKETED, LAWFUL FOR SALE, REGISTERED, COMPLIANT, APPROVED, ENDORSED, OR ELIGIBLE FOR SALE IN ANY PARTICULAR JURISDICTION.
Merchants may not rely upon inclusion in the Puffify catalog as evidence of a product’s legal or regulatory status.
9. Merchant Responsibility for Product Legality
Each Merchant is independently responsible for determining whether products it offers through Puffify may lawfully be marketed, offered, sold, distributed, or otherwise made available by that Merchant.
This responsibility includes determining and maintaining compliance with applicable:
- Federal laws and regulations
- State laws and regulations
- Local laws and ordinances
- FDA requirements
- Tobacco and nicotine regulations
- Premarket authorization requirements
- State tobacco-product directory requirements
- Product registration requirements
- Flavor restrictions
- Minimum-age requirements
- Packaging requirements
- Labeling requirements
- Marketing restrictions
- Licensing requirements
- Tax requirements
- Delivery or fulfillment restrictions
- Other requirements applicable to the Merchant or product
Merchant represents and warrants that it will not knowingly offer a product through Puffify where doing so is prohibited by applicable law.
Merchant is responsible for monitoring changes to laws and regulations applicable to its business and inventory.
No Puffify Determination of Legality
THE PRESENCE, ABSENCE, CLASSIFICATION, VISIBILITY, SEARCHABILITY, DISPLAY, OR TECHNICAL AVAILABILITY OF A PRODUCT ON PUFFIFY DOES NOT CONSTITUTE A REPRESENTATION, WARRANTY, CERTIFICATION, LEGAL OPINION, OR DETERMINATION BY PUFFIFY THAT THE PRODUCT MAY LAWFULLY BE MARKETED, OFFERED, SOLD, DISTRIBUTED, OR DELIVERED.
Merchant acknowledges that Puffify does not undertake, solely by operating the Services or maintaining its catalog, a contractual duty to independently investigate or determine the legal or regulatory status of every product associated with every Merchant.
Merchant may not rely upon Puffify’s catalog, product classifications, search results, regulatory metadata, visibility settings, commerce settings, or failure to restrict a product as legal or regulatory advice.
Nothing in this Section limits any obligation independently imposed on Puffify by applicable law.
10. Merchant Product Certification
By making a product available for sale through its Puffify storefront, Merchant represents to Puffify that:
- Merchant has independently determined that it is legally permitted to offer the product in the applicable jurisdiction;
- Merchant possesses licenses, registrations, permits, or other authorizations required of the Merchant;
- Merchant is not relying on Puffify’s catalog or availability of platform functionality as evidence of legality;
- information supplied by Merchant concerning the product is accurate to the best of Merchant’s knowledge; and
- Merchant will promptly remove, disable, or correct the product if Merchant determines that offering it is prohibited.
These representations are continuing representations and apply each time Merchant makes a product available through Puffify.
Puffify may require additional certifications, documents, attestations, or information for particular products, categories, or jurisdictions.
11. Tobacco, Nicotine, Vapes, and Other Regulated Products
Merchants offering tobacco products, nicotine products, electronic nicotine delivery systems (“ENDS”), e-cigarettes, disposable vapes, nicotine pouches, or other regulated products must comply with all laws applicable to those products.
Merchant acknowledges that the regulatory status of tobacco and nicotine products may differ by product and jurisdiction and may change over time.
Merchant is responsible for determining whether a specific product may legally be sold by Merchant.
Merchant may not represent that a product is “FDA approved” merely because it appears on Puffify or because the product has received a particular regulatory status.
Merchants must comply with Puffify’s Age-Restricted Product Policy and Marketplace Rules.
12. Age Restrictions
Merchants must comply with all minimum-age requirements applicable to tobacco, nicotine, and other age-restricted products.
Merchants may not knowingly sell or provide age-restricted products to persons who do not meet the applicable minimum legal age.
Where Puffify provides age-verification technology, identity-verification technology, age gates, or similar compliance tools, those tools supplement and do not eliminate the Merchant’s obligations unless applicable law expressly provides otherwise.
Merchant may not disable, circumvent, manipulate, interfere with, or encourage customers to evade an age-verification or compliance control.
13. Puffify Compliance Controls
Puffify may independently establish eligibility and compliance controls for merchants, products, categories, jurisdictions, and Services.
Puffify may at any time:
- Remove a product
- Hide or suppress a product
- Restrict product visibility
- Restrict a product geographically
- Restrict a product by state or locality
- Disable purchasing functionality
- Disable fulfillment functionality
- Mark a product for review
- Change a product classification
- Require documentation
- Require additional merchant certification
- Restrict a category
- Restrict a Merchant
- Suspend or terminate an account
- Take other measures reasonably designed to address legal, regulatory, safety, fraud, reputational, or platform risks
Puffify may impose requirements more restrictive than applicable law or Merchant’s own policies.
Merchant agrees to comply with Puffify restrictions even where Merchant believes the underlying product could otherwise lawfully be offered.
Absence of Restriction Is Not Approval
Puffify’s failure to identify, flag, restrict, disable, or remove a product does not constitute approval, authorization, certification, or confirmation of the product’s legality.
A Merchant remains responsible for its obligations regardless of whether Puffify has taken action concerning a product.
14. Regulatory Changes and Government Actions
Laws, regulations, regulatory interpretations, enforcement priorities, product authorizations, product registrations, and other requirements applicable to regulated products may change.
Puffify may modify product eligibility, visibility, transaction availability, merchant requirements, or other Services in response to:
- Changes in law
- Regulatory guidance
- Government databases
- Warning letters
- Import alerts
- Court orders
- Product authorizations or denials
- State product directories
- Government enforcement activity
- Information from manufacturers or distributors
- Other compliance or risk information
Puffify is not obligated to wait for final judicial or administrative action before restricting a product or Merchant.
15. Compliance Cooperation
Merchant agrees to reasonably cooperate with Puffify regarding compliance inquiries involving Merchant or products offered by Merchant.
Puffify may request:
- Retail licenses
- Tobacco licenses
- Product invoices
- Distributor information
- Manufacturer information
- Product identification information
- UPC information
- Product photographs
- Regulatory documentation
- Proof of registration
- Other information reasonably related to a compliance inquiry
Merchant agrees to provide requested information within a reasonable period specified by Puffify.
Failure to cooperate may result in restriction, suspension, removal of products, or termination.
16. Government and Regulatory Requests
Puffify may preserve or disclose information as permitted or required by law in response to lawful requests from courts, regulators, law enforcement agencies, or government authorities.
Puffify may also take action regarding a Merchant or product based upon a government inquiry, notice, warning, enforcement action, or other information Puffify reasonably determines presents legal or regulatory risk.
17. Marketplace Rules
Merchants must comply with the Puffify Marketplace Rules.
Merchants may not knowingly:
- Provide false or misleading business information
- Submit fraudulent documentation
- Misrepresent a product
- List counterfeit or stolen goods
- Misrepresent regulatory status
- Falsely claim a product is FDA approved or authorized
- Falsely imply Puffify has approved or endorsed a product
- Circumvent Puffify restrictions
- Manipulate compliance controls
- Interfere with platform security
- Use Puffify for unlawful activity
Puffify may investigate suspected violations and take appropriate action.
18. Merchant Content
“Merchant Content” includes information, photographs, logos, trademarks, descriptions, product information, store information, graphics, videos, and other materials provided by Merchant.
Merchant represents that it owns Merchant Content or has sufficient rights to provide it to Puffify.
Merchant grants Puffify a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, format, display, distribute, and otherwise use Merchant Content as reasonably necessary to operate, improve, market, and promote Puffify and Merchant’s presence through the Services.
Puffify may resize images, organize information, create storefront pages, standardize product information, and otherwise format Merchant Content for use through the Services.
Merchant retains intellectual property rights it otherwise holds in Merchant Content.
Puffify may remove or modify Merchant Content that violates these Terms, Puffify policies, applicable law, or platform standards.
19. Publicly Available Information
Puffify may obtain and display factual business and product information from publicly available or third-party sources, including:
- Business names
- Addresses
- Telephone numbers
- Hours
- Websites
- Product names
- Brands
- Manufacturer information
- Product specifications
- Product images
- Other publicly available commercial information
Merchants may contact Puffify regarding information they reasonably believe is inaccurate.
20. Puffify Intellectual Property
Puffify and its licensors retain all rights, title, and interest in Puffify-owned intellectual property, including:
- Puffify branding
- Logos
- Software
- Source code
- Platform design
- User interfaces
- Database organization
- Search systems
- Catalog structure
- Graphics
- Original content
- Features and functionality
Except as expressly authorized by Puffify, Merchant may not copy, reproduce, modify, distribute, sublicense, reverse engineer, scrape, systematically extract, or commercially exploit Puffify-owned technology or content.
Merchant may not use automated bots, crawlers, or scraping technologies to extract substantial portions of the Services without written permission except where such restriction is prohibited by law.
21. Puffify Name and Branding
Participation on Puffify does not grant Merchant ownership of Puffify trademarks, logos, or branding.
Merchant may truthfully identify itself as participating on Puffify subject to applicable Puffify branding guidelines.
Merchant may not state or imply that Puffify endorses, certifies, approves, sponsors, guarantees, or has determined the legality of Merchant or its products unless Puffify expressly authorizes that representation in writing.
22. Third-Party Services
Puffify may integrate with third-party services, including software, mapping, identity-verification, age-verification, communications, analytics, payment, fulfillment, or other providers.
Third-party services may be governed by separate terms and privacy policies.
Puffify does not control and is not responsible for the acts, omissions, availability, or independent practices of third-party providers except as required by applicable law.
23. Electronic Communications
Merchant consents to receiving electronic communications relating to its Merchant Account and the Services, including:
- Account notices
- Verification requests
- Security notices
- Policy updates
- Compliance inquiries
- Product restriction notices
- Service announcements
- Other administrative communications
Merchant is responsible for maintaining current contact information.
24. Suspension and Termination
Merchant may request closure of its account by contacting Puffify.
Puffify may restrict, suspend, deactivate, or terminate a Merchant Account or any portion of the Services where Puffify reasonably determines that:
- These Terms have been violated
- A Puffify policy has been violated
- Information is false or misleading
- Required licenses cannot be verified
- A product presents legal or regulatory concerns
- The account presents fraud, security, reputational, compliance, or platform risk
- Merchant is using Puffify unlawfully
- Continued access could expose Puffify, users, or third parties to risk or liability
- Suspension or termination is otherwise reasonably necessary to protect the Services
Puffify may, but is not required to, provide an opportunity to correct an issue before taking action.
25. No Guarantee of Exposure or Results
Puffify does not guarantee:
- Search ranking
- Store visibility
- Product visibility
- Customer traffic
- Orders
- Sales
- Revenue
- Customer acquisition
- Business growth
- Continuous availability of the Services
Puffify may determine and modify how merchants, stores, products, and brands are displayed, ranked, categorized, filtered, or recommended.
26. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PUFFIFY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPLETE, ACCURATE, OR AVAILABLE AT ALL TIMES.
PUFFIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW.
PUFFIFY DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF PRODUCT, MERCHANT, CATALOG, REGULATORY, LOCATION, OR OTHER INFORMATION DISPLAYED THROUGH THE SERVICES.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUFFIFY AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUFFIFY WILL NOT BE LIABLE FOR LOSSES ARISING FROM:
- Merchant products
- Product legality or regulatory status
- Merchant regulatory violations
- Incorrect merchant-provided information
- Incorrect or incomplete catalog information
- Merchant licensing violations
- Merchant fulfillment
- Third-party services
- Unauthorized account access caused by Merchant’s failure to secure credentials
- Platform interruptions
- Changes to product eligibility
- Removal or restriction of listings
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUFFIFY’S AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID DIRECTLY BY MERCHANT TO PUFFIFY DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some limitations may not apply.
28. Indemnification
To the maximum extent permitted by law, Merchant agrees to defend, indemnify, and hold harmless Puffify and its owners, affiliates, officers, directors, employees, contractors, agents, and service providers from claims, investigations, liabilities, damages, losses, judgments, penalties, fines, costs, and reasonable attorneys’ fees arising out of or relating to:
- Merchant’s business operations
- Products offered, marketed, sold, distributed, or fulfilled by Merchant
- The legal or regulatory status of Merchant’s products
- Merchant Content
- Merchant’s violation of these Terms
- Merchant’s violation of Puffify policies
- Merchant’s violation of applicable law
- Merchant’s failure to maintain required licenses, registrations, permits, or authorizations
- False or misleading information provided by Merchant
- Merchant’s infringement of third-party rights
- Merchant’s misuse of the Services
Merchant agrees to reasonably cooperate in the defense of such matters.
Puffify reserves the right to assume control of the defense of a matter subject to indemnification.
29. Independent Businesses
Puffify and Merchant are independent parties.
Nothing in these Terms creates an employment, partnership, franchise, fiduciary, agency, or joint-venture relationship.
Merchant controls and is responsible for its retail business, inventory, personnel, licenses, and products.
30. No Exclusivity
These Terms do not create an exclusive relationship.
Puffify may provide Services to competing businesses, and Merchant may use competing platforms.
31. Changes to the Services
Puffify may modify, update, discontinue, replace, or introduce Services and features.
Certain features may require acceptance of additional agreements, policies, fees, or terms.
32. Changes to These Terms
Puffify may update these Terms to reflect changes to the Services, law, regulation, business operations, or platform policies.
When updated, Puffify will change the “Last Updated” date.
Where required by law or where Puffify determines a change is material, Puffify may provide additional notice.
Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
If Merchant does not agree, Merchant must discontinue use of the Services.
33. Governing Law
These Terms and disputes arising from or relating to them or the Services will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to applicable law and any separately agreed dispute-resolution provision, state and federal courts located in Maricopa County, Arizona will have jurisdiction over disputes arising from these Terms or the Services, and the parties consent to jurisdiction and venue in those courts.
34. Severability
If a provision is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
35. Waiver
Puffify’s failure to enforce a provision does not waive that provision or another right.
36. Assignment
Merchant may not assign or transfer its rights or obligations under these Terms without Puffify’s prior written consent.
Puffify may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or similar transaction, or as otherwise permitted by law.
37. Entire Agreement
These Terms, together with the Puffify Privacy Policy, Marketplace Rules, Age-Restricted Product Policy, and additional terms expressly applicable to a particular Service, constitute the agreement between Puffify and Merchant regarding use of the Services.
If additional terms applicable to a specific feature conflict with these Terms, the additional terms control with respect to that feature to the extent of the conflict.
